What a VCC is, and is not, for a family office
A Variable Capital Company (VCC) is a Singapore body corporate registered with ACRA under the Variable Capital Companies Act 2018. Its sole object is to be one or more collective investment schemes (s 15), so it cannot run an operating business. Its paid-up capital always equals its net asset value, and shares are issued and redeemed at a price based on NAV (s 19). An umbrella VCC can hold several sub-funds whose assets and liabilities are segregated by law (s 29), although a sub-fund is not a separate legal person (s 32).
For a single family office (SFO), three things are easy to confuse and should be kept apart:
| Layer | What it is | Who decides | Main source |
|---|---|---|---|
| Legal vehicle | The VCC itself, its sub-funds and constitution | ACRA registration | VCC Act 2018 |
| Regulatory status of the manager | Licensed fund management company, or SFO under the class exemption | MAS | SFA; MAS SFO FAQs (12 June 2026) |
| Tax incentive | 13O, 13OA or 13U award for the fund | MAS, under the Income Tax Act | MAS Circular FDD Cir 05/2026 |
None of these replaces the others. A Singapore-incorporated, tax-resident private company can also apply for 13O, so the case for a VCC is functional: sub-fund segregation, NAV-based entry and exit, and a register of members that is not open to the public (ACRA). The register can still be obtained by the manager, the custodian (for an umbrella VCC, a sub-fund's custodian, and only for that sub-fund's members), public authorities for law enforcement and anyone holding a court order (s 82), and every VCC must appoint an eligible financial institution to carry out anti-money laundering checks, including on beneficial owners (MAS Notice VCC-N01).
The five decisions, in order
| # | Decision | Options | What it affects |
|---|---|---|---|
| 1 | Who is the VCC's manager | Licensed fund management company; other permissible manager; role of the family's own SFO | Which tax track applies; staffing and cost |
| 2 | Which incentive and track | 13O/13OA or 13U; SFO fund or non-SFO fund | Minimum assets, local spending, investment professionals |
| 3 | How to divide sub-funds | By family branch, generation, or strategy | Accounting, valuation, stamp duty on transfers |
| 4 | Who holds the shares and who decides | Individuals, a family trust, a holding company | Control, succession, reporting |
| 5 | How the VCC fits with trusts and PPLI | Trust above the VCC; PPLI as a separate layer | Ownership chain and reporting under CRS |
Decision 1 drives decision 2, so settle the manager question first.
The manager question and the two tax tracks
Every VCC must at all times have a manager that meets s 46(2) of the VCC Act: a holder of a capital markets services licence for fund management, an institution listed in s 99(1)(a)–(d) of the Securities and Futures Act, or a prescribed person; a VCC cannot be its own manager. The text does not name an SFO that operates under the class exemption in paragraph 5(1)(ba) of the Second Schedule to the SF(LCB) Regulations. Whether such an SFO falls within the prescribed category is a point on which the family should obtain a Singapore legal opinion or confirm with MAS. MAS has also said it will not grant a fund management licence to a company that manages only its own assets so that it can qualify for incentives or use fund structures that require a licensed manager (SFA 04-G05, para 3.4).
Since 15 June 2026, a qualifying SFO no longer needs a case-by-case exemption. It must be incorporated in Singapore, notify MAS within 14 days of starting operations, keep accounts with an MAS-licensed bank for itself and its fund vehicles (a foreign-incorporated fund vehicle may instead bank with a regulated bank in a jurisdiction that meets FATF standards), and file an annual return within four months of its financial year end. It may serve the family, family trusts and wholly owned family companies, family-funded charities and key employees (whose assets are capped at 10% of AUM). "Family member" covers lineal descendants of a common ancestor no more than five generations removed, including current or former spouses, adopted children, stepchildren, parents-in-law and siblings-in-law (MAS SFO FAQs, 12 June 2026).
For the tax incentive, MAS now separates two tracks (FDD Cir 05/2026):
| Item | SFO fund (awards from 1 August 2026) | Non-SFO fund |
|---|---|---|
| Definition | Assets mainly from one family, managed by an exempt SFO | Any fund that is not an SFO fund, typically run by a licensed manager |
| Investors | Family | Third-party capital, or a bona fide intention to raise it |
| Minimum AUM in designated investments | S$20m (13O/13OA); S$50m (13U), at application and each basis period end | Annual minimum removed, retroactive to 1 January 2025 |
| Investment professionals | 13O/13OA: at least 2, one not a family member; 13U: at least 3 | Per circular conditions for the manager |
| Local business spending | S$200,000 to S$1 million, tiered by AUM in DI | Per circular conditions |
| Capital deployment | Lower of 10% of AUM in DI or S$10m into qualifying Singapore investments | Not applicable in this form |
| Family operating businesses | May be held, no holding limit, but excluded from minimum AUM | May not be held |
How a fund is classified when an SFO advises or co-manages alongside a licensed manager is not spelt out word for word, so it should be confirmed in writing with MAS before applying. Switching a fund between SFO and non-SFO management requires a fresh application. All 13O/13OA/13U funds must file an Annual Declaration within four months after each basis period; missing it means no exemption for that year. The schemes run to 31 December 2029; approved funds that keep meeting the conditions continue to benefit.
Sub-funds, family members and trusts
Sub-funds let a family keep separate portfolios under one board and one manager. Each new sub-fund must be registered with ACRA within seven days, at S$400 per sub-fund (ACRA, 29 January 2026). For income tax, an umbrella VCC is a single entity filing one Form C, but tax rules apply at sub-fund level and losses cannot be offset across sub-funds; a certificate of residence is issued in the umbrella VCC's name (IRAS, 22 April 2026). For stamp duty, each sub-fund is a separate person, so transfers between sub-funds may attract duty, and transfers without an instrument must be notified within 14 days.
Shares can be held by individuals, a holding company or a trustee. A private trust company may be exempt from licensing if it appoints a licensed trust company for AML compliance. Where a VCC holds an insurance policy, the policy cannot use a nomination under the Insurance Act, since only an individual policy owner who is also the life assured can nominate (LIA, 2026). Whether PPLI policy value counts towards AUM in designated investments has not been addressed by MAS and should not be assumed.
Business owners and succession
A VCC cannot carry on the family business, but an SFO fund may hold shares in the family's operating companies without a holding limit; those holdings do not count towards the minimum AUM in designated investments, and a non-SFO fund may not hold them at all. MAS also states that the schemes are not intended for funds that act mainly as long-term holding companies of operating businesses, private equity funds aside, and that a fund must not be dormant (FDD Cir 05/2026, Annex 12 FAQ 1–2). Transferring unlisted shares into a VCC generally attracts share duty of 0.2% on the higher of the price or net asset value. Statutory reliefs for reconstructions may apply, subject to IRAS review. Singapore removed estate duty for deaths on or after 15 February 2008, and a VCC has perpetual succession. Transferring shares on death still usually needs a grant of probate or letters of administration, and family members resident in mainland China, Hong Kong or elsewhere should take local advice on inheritance and tax.
Annual obligations and costs
| Line | Obligation | Timing |
|---|---|---|
| ACRA | General meeting; annual return (S$1,600); audited accounts with separate accounts per sub-fund | 6 and 7 months after financial year end |
| MAS | SFO annual return; 13O/13U Annual Declaration; notices of changes in shareholders, directors or professionals | 4 months after year end or basis period |
| IRAS | One Form C and estimated chargeable income; CRS registration and returns where applicable | CRS: register by 31 March, file by 31 May |
ACRA charges S$15 for a name application and S$8,000 for registration, and says registration takes 14 to 60 days to approve. Audit exemptions for small companies do not apply to VCCs. Professional fees are separate.
When a VCC is not the right tool
A VCC adds a mandatory manager, an annual audit and a heavier filing load. It may not suit a family with a single portfolio and no need for sub-funds, a family whose main asset is an operating business, or one that cannot meet the SFO-fund conditions every year. More than 2,000 SFOs held tax incentives at the end of 2025, and 1,406 VCCs with 3,443 sub-funds had been set up by 31 December 2025 (MAS). These are market figures, not evidence that most family offices use a VCC. The Chinese guide on this site covers each step; readers who want this interpreted for their own circumstances can register a request through the site's contact options.
