Annual compliance for a family-office VCC means the filing, audit and notification duties that a single family office (SFO) and its Variable Capital Company (VCC) owe each year to the Accounting and Corporate Regulatory Authority (ACRA), the Monetary Authority of Singapore (MAS) and the Inland Revenue Authority of Singapore (IRAS). Compared with an ordinary private company, three things are added: a VCC must be audited every year, the SFO must file an annual return with MAS, and a fund holding a 13O / 13U award must submit an Annual Declaration every year. This page uses a financial year end (FYE) of 31 December as its example and applies to Singapore. Unlike the general checklist on vccfund.sg, which is organised by type of obligation, this page follows a family office's year in date order and includes the SFO's own filings.

First establish who is filing: four entities, four sets of duties

A family-office structure usually involves four entities, and their obligations should not be lumped together. The most common omission is to focus on the VCC and forget that the SFO is itself a Singapore company, and that 13O / 13U declarations are submitted per fund rather than per company.

Entity What it is Main agency Typical annual duties
SFO (family-office company) A Singapore-incorporated company managing family assets under the class exemption MAS, ACRA, IRAS Annual return to MAS; Companies Act and income tax duties as an ordinary company
VCC The fund's legal vehicle ACRA, IRAS, MAS (AML/CFT) AGM, annual return, audit, Form C, CRS (per IRAS's guidance on collective investment schemes)
Sub-fund A segregated unit under an umbrella VCC, not a separate legal person ACRA Separate accounts; each sub-fund of an umbrella VCC files its own annual return (whether fees are charged per sub-fund is subject to ACRA's fee schedule)
13O / 13U fund A fund holding a tax incentive award (the note on assessing an umbrella fund as a whole is in Annex 8A of the circular, in the non-SFO fund section; SFO funds should confirm with MAS) MAS Annual Declaration for each YA; conditions checked at the end of each basis period

The SFO and the VCC may have different financial year ends, but if they are out of step the year will contain two sets of "4-month" deadlines. Many families align the two FYEs at set-up so that one team can complete every filing from one set of data.

Timeline: a year with a 31 December financial year end

The table below uses FYE 31 December 2026 (VCC and SFO on the same financial year; basis period 2026 corresponds to YA 2027):

Date Agency Obligation Responsible party Basis
By 31 Mar 2027 IRAS File Estimated Chargeable Income (ECI); not required if annual revenue is no more than S$5 million and ECI is nil Tax adviser IRAS ECI page, 10 Aug 2026
By 31 Mar (if applicable) IRAS Register as a CRS Reporting Singapore Financial Institution (Reporting SGFI) Fund administrator / EFI IRAS CRS page, 9 Sep 2026
By 30 Apr 2027 MAS SFO files its annual return (within 4 months of financial year end; no extensions) SFO MAS SFO exemption FAQs 6, 7
By 30 Apr 2027 MAS 13O / 13U fund submits its Annual Declaration for YA 2027 Manager / tax adviser FDD Cir 05/2026, Annex 12 FAQ 4
By 31 May 2027 IRAS File the CRS annual return or a nil return Fund administrator / EFI IRAS CRS page, 9 Sep 2026
By 30 Jun 2027 ACRA Hold the AGM (unless exempted) and lay audited financial statements Board, company secretary, auditor ACRA overview of managing a VCC, 16 Mar 2026
By 31 Jul 2027 ACRA File the annual return (within 7 months of financial year end) Company secretary VCC Act s 97(1)
By 30 Nov 2027 (indicative) IRAS File the income tax return on Form C; an umbrella VCC files one return only Tax adviser IRAS VCC tax framework, 4th edn, para 5.40; the YA 2026 deadline was 30 Nov 2026 (IRAS, 30 Sep 2026); for YA 2027 follow IRAS's announcement at the time

The audit must be completed before the AGM. In practice, the two MAS filings due at end-April rely on full-year data (AUM in designated investments, local business spending, headcount), while audited accounts are usually finalised later, so the family should agree in advance which version of the figures will be used and who will provide an auditor's certification if MAS asks for one.

The ACRA line: AGM, annual return, audit and changes

ACRA's requirements resemble those for companies, with three differences:

  1. No audit exemption: every VCC must appoint at least one auditor within 3 months of incorporation, and the audit exemption in sections 205B and 205C of the Companies Act does not apply to VCCs; a company secretary must be appointed within 6 months of incorporation (ACRA Step 2, 29 Jan 2026).
  2. Accounts by sub-fund: the financial statements of an umbrella VCC must include separate accounts for each sub-fund, prepared under the same accounting standards (VCC Act s 100(2)). The more sub-funds there are, the earlier audit scheduling and fees need to be planned.
  3. Annual return and AGM deadlines: the AGM must be held within 6 months of financial year end and the annual return filed within 7 months (ACRA, 16 Mar 2026; VCC Act s 97(1)); a late annual return can attract a penalty of up to S$600 (ACRA annual returns page, 30 Jan 2026). Extensions for the annual return and the AGM can be applied for separately, at a fee of S$200 each time (ACRA fee schedule, 29 Jan 2026).

ACRA events that can arise at any time:

Trigger Deadline Basis
Change in the particulars, contact details or address of directors, secretary or other officers Update within 14 days ACRA, 16 Mar 2026
Change in a sub-fund's name or address, or in the VCC's type Update within 14 days Same
New sub-fund Apply to ACRA for registration within 7 days of establishment; fee S$400 per sub-fund VCC Act s 27(1); ACRA fee schedule

The MAS line: SFO annual return, 13O / 13U Annual Declaration and change notifications

The three MAS obligations concern different subjects. They are often lumped together as "the form for MAS", but they are three separate things:

  • SFO annual return: an SFO operating under the class exemption must file an annual return every year; the first is due within 4 months of the end of the SFO's current financial year, and MAS has said it will not grant further extensions (FAQs 6, 7). A service provider may file using its own Corppass, but must attach a declaration signed by the family member who provided the assets and by one director of the SFO (FAQ 8). The notification transition period for existing SFOs runs to 15 June 2027 (FAQ 4).
  • 13O / 13U Annual Declaration: every incentivised fund must submit, within 4 months of the end of each basis period, a declaration for the corresponding YA; MAS may ask for supporting documents or an auditor's certification (Annex 12 FAQs 3, 4).
  • Change notifications: additions or replacements among the fund's beneficial owners (beneficiaries, in a trust structure), the SFO's shareholders / directors / key employees (C-suite) / investment professionals, and any new intermediate entity in the shareholding chain of the fund or the SFO must be notified by writing to FO_13OU@mas.gov.sg (Annex 11 FAQ 2). A change of manager that moves the fund between the SFO and non-SFO tracks requires a fresh incentive application (Annex 11 FAQ 4).

In addition, an SFO may manage money only for family members, family trusts and wholly family-owned companies, family-funded charities and key employees, and key employees' assets in aggregate must not exceed 10% of total assets under management (MAS SFO exemption FAQ 1). This is not an annual filing item, but it should be checked whenever the client list is reviewed each year. For the conditions in detail, see The two 13O / 13U tracks.

The IRAS line: ECI, Form C, stamp duty and CRS

Besides income tax, IRAS has two obligations that are easily overlooked:

Item Key points Basis
ECI File within 3 months of financial year end; not required if annual revenue is no more than S$5 million and ECI is nil IRAS ECI page, 10 Aug 2026
Income tax return A VCC must use Form C (Form C-S / C-S Lite do not apply); an umbrella VCC files one return; chargeable income is computed per sub-fund and then aggregated, and losses of one sub-fund cannot be set off against another IRAS 4th edn, paras 5.9, 5.11–5.12, 5.40
Winding up a sub-fund Obtain tax clearance from IRAS before winding up a sub-fund; IRAS need not be notified of a new sub-fund IRAS 4th edn, para 5.41
Stamp duty A transfer of assets between sub-funds without an instrument must be notified to the Commissioner of Stamp Duties within 14 days, failing which a penalty of up to four times the duty may apply IRAS 4th edn, para 7.7
CRS Register as a Reporting SGFI by 31 March (if applicable); file the annual return or a nil return by 31 May; the amended CRS applies from 1 January 2027 IRAS CRS page, 9 Sep 2026

On CRS, IRAS explains that a collective investment scheme is an "Investment Entity", and where investors hold directly or are named in its register, the scheme is responsible for reporting (IRAS CRS e-Tax Guide, para 5.6). Family members who are VCC shareholders may therefore have their information reported to their jurisdiction of tax residence; residents of mainland China, Hong Kong and elsewhere should obtain local professional advice. CRS at the individual level is covered on the sister site hnw.sg.

A 12-point check before each year begins

  1. Are the financial year ends and corresponding YAs of the VCC and the SFO in one calendar, with an owner named for each deadline?
  2. Has the auditor confirmed the audit schedule, and has the number of sub-funds changed since last year?
  3. Are each sub-fund's separate accounts prepared under the same accounting standards?
  4. Is AUM in designated investments at the end of the basis period at or above the award threshold, and have investments in family businesses been excluded from the minimum AUM in designated investments?
  5. Did the number of investment professionals, their tax residence, monthly salaries and roles meet the conditions throughout the basis period?
  6. Has local business spending reached the applicable tier, and is there documentation for any donations counted towards it?
  7. Are the SFO fund's capital deployment requirement and private banking account condition continuously met?
  8. Have all changes over the past year in beneficial owners, shareholders, directors, key employees and investment professionals been notified to MAS?
  9. Have changes in officers' and sub-funds' particulars all been updated with ACRA within 14 days?
  10. Are key employees' assets still no more than 10% of the SFO's total assets under management?
  11. Has the eligible financial institution (EFI) completed due diligence on new investors and updated the register of beneficial owners (MAS Notice VCC-N01, 30 Jun 2025)?
  12. Have CRS registration and reporting, and stamp duty notifications for transfers between sub-funds, been completed on time?

Consequences of late filing or missed conditions

Situation Consequence Basis
Late ACRA annual return Penalty of up to S$600; continued failure can lead to prosecution and other enforcement action ACRA annual returns page, 30 Jan 2026
Sub-fund not registered within 7 days Breach of the statutory deadline in VCC Act s 27, with possible enforcement VCC Act s 27(1)
SFO annual return 4-month deadline, and MAS has said no further extensions will be granted; for the specific consequences of late filing, follow MAS's rules MAS SFO exemption FAQ 7
13O / 13U Annual Declaration not submitted, or fund uncontactable No exemption for that YA; MAS may terminate the award FDD Cir 05/2026, Annex 12 FAQ 4
AUM in designated investments below threshold at basis-period end No exemption for that basis period FDD Cir 05/2026, paras 2.4, 4.3
Investment professionals not in place by the end of the basis period for the first YA Award revoked from its start date FDD Cir 05/2026, para 4.3
Transfer between sub-funds not notified within 14 days Penalty of up to four times the duty IRAS 4th edn, para 7.7

The key to compliance is not memorising every date but having the company secretary, auditor, fund administrator, tax adviser and SFO work from one shared calendar, and running the check above every January. Appointment deadlines at set-up are covered in Setting up a family-office VCC. If you need this interpreted for your own situation, you can register your enquiry through the contact details on this site.
